Pattern Energy Files a Shelf Registration Statement in the United States and a Preliminary MJDS Shelf Prospectus in Canada

San Francisco, Oct. 9, 2014 (GLOBE NEWSWIRE) — Pattern Energy Group Inc. (Nasdaq:PEGI) (TSX:PEG) (“Pattern Energy”), today announced that it has filed a universal shelf registration statement on Form S-3 with the Securities and Exchange Commission (“SEC”) which became effective automatically upon filing. The shelf registration statement will allow Pattern Energy and/or selling security holders from time to time, in one or more offerings, to offer and sell Class A common stock, preferred stock, debt securities, warrants, purchase contracts, subscription receipts, and units, at prices and on terms to be determined at the time of any future offering, subject to market conditions. The terms of any future offering will be described in a prospectus supplement filed at the time of such offering.

Pursuant to the shelf registration statement filed with the SEC, unless otherwise indicated in a prospectus supplement, net proceeds to Pattern Energy from the sale of such securities in any future offering will be used for general corporate purposes, including working capital purposes, acquisitions, retirement of debt, and other business purposes. Pattern Energy will not receive any proceeds from the sale of securities by any selling security holder. 

Pattern Energy has also filed a preliminary MJDS shelf prospectus with securities regulatory authorities in each province and territory of Canada under the Multijurisdictional Disclosure System (“MJDS”) to qualify, upon issuance of a receipt for the final MJDS shelf prospectus, the sale of the same types of securities in Canada, from time to time. At the present time, Pattern Energy has no specific plans to issue securities under the shelf registration statement or MJDS shelf prospectus.
